Terms of Service

1. Introduction

These Terms & Conditions ("Terms") govern your use of the LoadRunner mobile application and platform (the "Platform"). By creating an account, listing a shipment, or placing a bid, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms apply to all users, including Shippers and Drivers.

2. The LoadRunner Platform

LoadRunner is a digital marketplace that connects users who need to transport goods ("Shippers") with independent drivers who provide transportation services ("Drivers"). LoadRunner acts solely as an intermediary to facilitate these connections. We do not provide transportation, courier, logistics, or delivery services, and we are not a carrier, freight broker, or transportation company.

3. Platform Disclaimer

LoadRunner is not a party to any transportation agreement entered into between Shippers and Drivers. We are not responsible or liable for:

  • The quality, safety, legality, or reliability of transportation services provided by Drivers.
  • The conduct, actions, omissions, or performance of any Shipper or Driver.
  • Loss, theft, damage, deterioration, or delay of any shipment.
  • Vehicle breakdowns, accidents, injuries, fatalities, or property damage.
  • The accuracy or truthfulness of information supplied by users.
  • Disputes arising between Shippers and Drivers.

Users are solely responsible for conducting their own due diligence and exercising reasonable care when selecting counterparties and entering into agreements.

4. Fees and Payments

By using the Platform, you agree to the following fee structure:

  • Shipper Platform Fee: A 3% LoadRunner platform fee will be added to the accepted bid amount.
  • Driver Service Fee: A 5% LoadRunner service fee will be deducted from the accepted bid amount upon successful completion of the shipment.
  • Payment Processing: Our third-party Payment Service Provider (PSP), TradeSafe, manages all payment processing, escrow services, payouts, and refunds. Applicable PSP fees may vary and are payable in addition to the LoadRunner fees.
  • Binding Agreement: Once a Shipper accepts a Driver's bid, a legally binding agreement is formed directly between the Shipper and the Driver. Funds are held securely in escrow and are released according to the delivery confirmation process.

5. User Responsibilities

All users agree to communicate and conduct all transactions professionally, honestly, and lawfully.

5.1. Shipper Responsibilities

By creating a shipment listing, you confirm and warrant that:

  • You are responsible for evaluating and selecting the Driver you wish to engage.
  • All shipment information (e.g., dimensions, weight, contents, addresses) is accurate and complete.
  • You have the legal authority to arrange transportation of the goods.
  • The shipment does not contain prohibited, illegal, or hazardous items unless fully declared and transported in accordance with applicable laws.
  • You will ensure the recipient is available to receive the shipment and complete the delivery confirmation process.

5.2. Driver Responsibilities

By submitting a bid, you confirm and warrant that:

  • You are solely responsible for deciding which shipments to bid on and who you do business with.
  • Your bid is a genuine and binding offer to perform the service if accepted.
  • You possess all licenses, permits, insurance, and qualifications required by law to perform the transportation service.
  • You will operate your vehicle safely and comply with all applicable laws and regulations.
  • You accept full responsibility for the transportation service you provide.

6. Bids and Cancellations

  • Unaccepted bids or shipment listings may be cancelled at any time.
  • Once a bid is accepted, it becomes a binding agreement. Cancellations after acceptance may result in fees or penalties in accordance with the LoadRunner Cancellation Policy and applicable PSP rules.

7. Limitation of Liability

To the maximum extent permitted by law, the LoadRunner platform is provided on an "as is" and "as available" basis. LoadRunner makes no warranties or guarantees regarding the platform or any transportation services arranged through it. Our total liability for any claim arising from your use of the platform shall not exceed the total platform fees paid by you in connection with the relevant transaction.

8. Acceptance of Terms

By creating an account, listing a shipment, placing a bid, or otherwise using the LoadRunner platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service. You understand that LoadRunner is a technology platform and is not responsible for the actual transportation services provided.

9. Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
